Distance Sales Contract
This contract governs the rights and obligations of both parties in wholesale transactions carried out through idin.com.tr. Please read carefully before placing an order.
Parties
This Distance Sales Contract is entered into between the Seller identified below and the Buyer who places an order electronically through idin.com.tr.
Subject Matter and Nature of Contract
This contract governs the sale and delivery of products ordered electronically by the Buyer through idin.com.tr, and sets out the rights and obligations of both parties in connection with that transaction.
Important: idin.com.tr operates exclusively as a wholesale and commercial sales platform. All transactions conducted through this platform are deemed commercial in nature. Consumer rights under Turkish Consumer Protection Law No. 6502 (including the right of withdrawal) do not apply to this contract. The contractual relationship is governed exclusively by the Turkish Code of Obligations.
Products and Order Information
The type, model, quantity, colour, unit price and total amount of the products forming the subject of the sale are specified on the order confirmation screen and in the confirmation email sent to the Buyer.
The Buyer is responsible for reviewing this information before confirming the order and correcting any errors. The confirmed order details are taken as final and binding.
Product images and descriptions are provided for informational purposes. Minor differences in colour or appearance may occur due to monitor settings and do not constitute a product defect.
Pricing and Payment
All prices displayed on the site are net wholesale prices excluding VAT. The applicable VAT rate is calculated separately and reflected on the invoice at the order confirmation and invoicing stage.
Payment may be made by credit card, debit card or bank transfer. Orders are processed only after payment has been successfully confirmed. An order placed without completed payment is not considered binding.
- All domestic and international cards are accepted; instalment options are available.
- Bank transfer payments are accepted; orders are not processed until the transfer is confirmed.
- Cash on delivery is not available for wholesale orders.
VAT and Tax Provisions
For domestic (Turkey) orders, the applicable VAT rate is added to the order total and reflected on the invoice at checkout.
International Buyers — VAT Exemption: All international orders placed through idin.com.tr are processed under micro-export regulations. Accordingly, no VAT is charged on cross-border shipments. International buyers pay only the net product price and shipping cost — no VAT is added.
Customs Duties and Local Taxes: Any customs duties, import taxes or local tax obligations arising in the destination country are the sole responsibility of the Buyer. The Seller assumes no liability in this regard.
Delivery and Shipping
Orders confirmed during business hours are dispatched the same day. All fulfilment operations are carried out from our showroom in Eminönü. The Buyer may select their preferred carrier at the time of ordering.
- Domestic delivery (Turkey): 1–3 working days nationwide. Available carriers: Aras Kargo, Sürat Kargo, DHL eCommerce.
- International delivery: 1–5 working days via express air freight. Available carriers: DHL Express, FedEx, UPS. Three price quotes are generated automatically based on weight and dimensions; the Buyer selects their preferred option.
- Shipping cost: Calculated and charged at checkout. For international orders, no additional payment is required upon delivery.
Delays caused by the carrier are not the Seller's responsibility. The carrier handover receipt constitutes proof that the Seller has fulfilled its delivery obligation.
Right of Withdrawal and Returns
All transactions on idin.com.tr are commercial and professional wholesale purchases. Accordingly, this contractual relationship is governed by the Turkish Code of Obligations. The 14-day right of withdrawal provided under Consumer Protection Law No. 6502 does not apply to this contract.
By placing an order, the Buyer confirms the commercial nature of their purchase and acknowledges in advance that the right of withdrawal does not apply. General return requests will not be processed.
No right of withdrawal or general return applies to sales made through dropshipping trade partners either. The dropshipping partner is solely responsible for managing any return or cancellation requests received from their end customers under their own name and at their own liability. Such requests may not be redirected to the Seller under any circumstances, and the Seller accepts no responsibility in this regard. Only the exceptions set out in Article 8 of this contract (manufacturing defect, transit damage, incorrect dispatch) apply equally to dropshipping partners and are subject to the same notification procedure.
Legal Basis: Pursuant to Articles 19 et seq. of the Turkish Code of Obligations, consumer withdrawal provisions do not apply to contracts concluded for commercial purposes. Where the Buyer holds trader status, this position is further supported by Article 18 of the Turkish Commercial Code.
Defective Goods and Incorrect Dispatch — Exceptions
Notwithstanding the exclusion of the right of withdrawal, the following circumstances are recognised as legitimate exceptions subject to review under the Turkish Code of Obligations:
In the above circumstances, the Buyer must notify the Seller in writing within 3 (three) working days of the delivery date. Claims submitted after this period will not be considered.
Note: The decision to approve an exchange or return rests entirely with the Seller, within the framework prescribed by the Turkish Code of Obligations. The Buyer accepts the Seller's final decision in advance.
Force Majeure
Where performance of contractual obligations is prevented by events beyond the reasonable control of either party and which could not have been foreseen, the affected party shall not be held liable. Force majeure events include but are not limited to:
- Natural disasters (earthquake, flood, fire, etc.)
- War, mobilisation, acts of terrorism, civil unrest
- Government decisions, legislative changes or import/export restrictions
- General strikes, lockouts or prolonged disruptions to public services
- Delays or operational failures attributable to the carrier
- Unforeseeable technical infrastructure failures
The affected party shall notify the other party in writing within a reasonable time of the force majeure event arising. Once the event has ceased, performance of obligations shall resume from where it was interrupted.
Privacy and Personal Data
Personal and commercial data provided by the Buyer is processed solely for the purposes of order fulfilment, delivery and compliance with legal obligations. The Seller does not share such data with third parties except where required by law.

The Seller is committed to fulfilling its obligations under Turkish Personal Data Protection Law No. 6698 (KVKK) and applicable data protection regulations.
Governing Law and Jurisdiction
This contract is governed by and shall be construed in accordance with Turkish Law.
Domestic Buyers (Turkey)
Istanbul Courts and Enforcement Offices shall have exclusive jurisdiction over any dispute arising from this contract.
International Buyers
The parties shall first attempt to resolve any dispute through written negotiation. Failing amicable resolution, disputes shall be finally settled under the rules of the Istanbul Arbitration Centre (ISTAC). The language of arbitration shall be Turkish and/or English.
Entry into Force and Acceptance
This contract is concluded electronically and becomes binding on both parties at the moment the Buyer confirms their order on idin.com.tr.
By confirming their order, the Buyer declares that they have read, understood and unconditionally accepted all provisions of this contract.
Important Reminder: Should a Buyer be a natural person purchasing in a non-commercial capacity, the relevant provisions of Consumer Protection Law No. 6502 may apply. However, idin.com.tr operates exclusively as a wholesale and commercial platform — any person purchasing through this platform is deemed to be acting in a commercial or professional capacity.
