1. Subject and Scope
This agreement governs return/exchange conditions where products delivered under a wholesale (B2B) purchase are defective/wrong/missing. The consumer right of withdrawal under Law No. 6502 does not apply to B2B sales.
2. Definitions
Defective Product: Non-conforming, damaged, or unfit for normal use at delivery.
Wrong Product: A product different from the specified model/spec in the order.
Missing Product: Quantity delivered is less than ordered.
RMA (Return Merchandise Authorization): Reference number issued by Seller for return/exchange.
3. Order, Delivery, and Transfer of Risk
Risk of loss/damage passes to Buyer upon delivery. Buyer records any visible damage at delivery; otherwise delivery is deemed sound.
4. Inspection and Notice Period
Buyer inspects within a reasonable period and notifies Seller in 14 days from delivery in writing (email/portal/form) for defects/wrong/missing. Late notices may be rejected.
5. Return/Exchange Conditions
- Only in cases of defective, wrong, or missing items.
- Items must be unused, in original packaging, with all accessories/tags.
- Hygiene products (e.g., earrings, etc.) cannot be returned if opened (except defective/wrong/missing).
- Items with broken traceability (serial/lot) or altered/tampered are excluded.
6. RMA Process
- Buyer completes the Return/Exchange Request Form and provides photos as evidence.
- Seller shares the RMA Code and return shipping code/instructions after review.
- Buyer ships the item to the specified return address with the RMA Code on the package.
- Seller inspects within 3–5 business days of receipt; if approved, exchange or refund (same payment method, within 5 business days) is processed.
7. Fees and Costs
Return shipping cost is covered by the Seller for defective/wrong/missing items (designated carrier & RMA code must be used). Other reasons are not accepted.
8. Limitation of Liability
Seller’s total liability is limited to the amount actually paid for the relevant order. Indirect damages (loss of profit, etc.) are excluded.
9. Force Majeure
Strikes, natural disasters, war, epidemics, governmental acts, etc. release parties from liability; deadlines extend accordingly.
10. Confidentiality & Data Protection
Parties keep trade secrets confidential. Seller processes personal data per KVKK/data protection laws, limited to purpose and retained as necessary.
11. Disputes & Governing Law
Turkish law applies; Istanbul (Central) Courts and Enforcement Offices have jurisdiction.
12. Effectiveness
This agreement is dated [date] and may be amended by written mutual consent.
